States Settle Lawsuit Over Paramount-Warner Merger, Clearing Path for $81 Billion Deal

Twelve states and Hollywood writers challenging Paramount's acquisition of Warner Bros. Discovery have agreed to settle their lawsuits, facilitating the $81 billion merger. The deal will combine Paramount and Warner Bros. Discovery, which includes major studios, TV networks like CBS and CNN, and streaming services HBO Max and Paramount+. California Attorney General Rob Bonta announced the settlement, which includes commitments from Paramount to increase film production in the U.S., allocate funds to support displaced workers, and monitor the editorial independence of its news operations. The settlement awaits final approval from a judge. Bonta expressed concerns about the merger, stating, "I don't think these two companies should merge," but emphasized that the settlement was focused on protecting jobs. Paramount CEO David Ellison welcomed the agreement, stating it would create a stronger Hollywood and more opportunities for audiences. The coalition of states, including California and New York, initially filed suit in July, claiming the merger would reduce competition and consumer choices. The Writers Guild of America also filed a lawsuit, which has now been settled. The WGA expressed concerns about the merger's impact on writers and the industry but acknowledged the reality of proceeding without government support in their antitrust case. Paramount had previously agreed to postpone the merger to address legal challenges and claimed to have met all regulatory requirements.
