Federal Judge Pauses Paramount Skydance-Warner Bros. Discovery Merger

A federal judge has issued a pause on the merger between Paramount Skydance and Warner Bros. Discovery following a lawsuit filed by a coalition of state attorneys general seeking to block the deal on antitrust grounds. The lawsuit, led by California Attorney General Rob Bonta, argues that the merger would reduce competition among movie studios and grant excessive market power over cable channels. California District Judge Araceli Martínez-Olguín issued a 14-day restraining order to allow for further review of the antitrust questions raised by the states. A preliminary injunction hearing is scheduled for August 3 to determine if the restraining order should be extended. Paramount has expressed confidence that the antitrust arguments are without merit, stating that the merger is lawful and pro-competitive. The pause may create uncertainty for shareholders and could potentially cost Paramount significant fees if the deal does not close by September 30.
